Chair's Welcome & Introduction 
The Chair welcomed members to the meeting and noted continued progress in the recruitment of Non-Executive Directors. The Chair reflected on the evolving external environment and emphasised that Great British Energy ("GBE") remained focused on delivering its strategic objectives and Business Plan. Apologies were received from Frances O'Grady and Beverley Gower-Jones. 

Safety Moment 
The Board received a Safety Moment focused on psychological safety, the importance of constructive challenge, and creating an environment in which colleagues feel able to raise concerns and contribute openly. The Board welcomed the discussion and reaffirmed its commitment to fostering a positive and inclusive culture. 

Quorum, Agenda and Declarations of Interest
The Chair confirmed that the meeting was quorate and the agenda was approved. The Board reviewed the Register of Interests and noted a declaration in relation to an external stakeholder role. No other declarations were made.

Approval of Previous Board Minutes and Actions 
The Board approved the minutes of the meeting held on 30 and 31 March 2026 as a true and accurate record. The Board reviewed progress against outstanding actions and noted those that had been completed or were being progressed.

HR Quarterly Update 
The Board received an update on workforce planning, recruitment activity, and organisational development. The Board welcomed progress in building organisational 
capability and discussed workforce planning, organisational culture and diversity and inclusion. The Board noted continued recruitment activity to support delivery of GBE's strategic priorities. The Board also received an update on employee relations and engagement activity. The Board reviewed the Whistleblowing Policy and discussed arrangements to support colleagues in raising concerns. The Board approved the Policy, subject to agreed amendments. 

Chair's Welcome 
The Chair welcomed members to the second day of the meeting and reflected on the importance of maintaining focus on delivery of GBE's strategic objectives.

CEO Report 
The Board received an update from the CEO on organisational development, operational priorities, and progress against the Company's strategic objectives. The Board noted continued progress in strengthening organisational capability, governance arrangements, and operational readiness. Members also received updates on key strategic programmes and organisational development activity. The Board welcomed progress made since the previous meeting and NOTED the CEO Report.

Reports from Committee Chairs 
Nomination and Remuneration Committee: The Board received an update from the Chair of the Nomination and Remuneration Committee on workforce planning, recruitment, Board effectiveness arrangements, and employee engagement matters. The Board NOTED the report. 

Audit, Assurance and Risk Committee: The Board received an update from the Chair of the Audit, Assurance and Risk Committee covering financial reporting, risk management, audit activity, and governance matters. The Board noted progress in strengthening governance, control and assurance arrangements and NOTED the report. 

Investment Committee: The Board received an update from the Chair of the Investment Committee on recent Committee activity and the continuing development of GBE's investment governance framework. The Board NOTED the report.

Impact and Performance Framework 
The Board considered the proposed Impact and Performance Framework, intended to support the consistent measurement and reporting of outcomes across GBE's activities. The Board welcomed the progress made and supported the overall direction of travel, requesting further work on governance, assurance, and reporting arrangements before returning the Framework for approval at a future meeting. The Board NOTED the report, deferring approval pending further development.

GBE Local 
The Board received an update on progress in delivering GBE Local and the development of programmes intended to support local and community energy initiatives. The Board discussed delivery arrangements, programme development and future opportunities, welcoming progress made to date. 
Following consideration, the Board approved: 
1) the £20 million GBE Community Energy Fund; and 
2) the £5 million Local Partnership Grant. 
The Board also received an update on the Pathfinder Projects programme and requested further updates as delivery progresses.

Ethical Supply Chain 
Ethical Supply Chain and Modern Slavery:
The Board considered GBE's ongoing work to strengthen its approach to ethical supply chains and modern slavery risk. The Board discussed governance, due diligence and reporting arrangements and highlighted the importance of maintaining a proportionate approach while supporting responsible business practices.  
The Board supported continued work in this area and requested further updates as the programme develops. 
The Board received an update on international partnership activity supporting the development of offshore wind and supply chain capability. The Board noted the strategic importance of international collaboration and welcomed progress made to date. 
The Board received an update on the development of future strategic opportunities intended to support industrial transition and growth in clean energy supply chains, and welcomed the strategic objectives being explored. It was noted that further development work would be undertaken before any future proposals were brought forward for consideration. 

Any Other Business 
The Board approved interim signing authority arrangements to support business operations pending implementation of a permanent delegated authority framework. 
The Board noted arrangements for upcoming Board and Committee meetings. The Chair recorded the Board's thanks to departing Board members for their contribution and acknowledged the support of those involved in organising the meeting and associated events.
